Alescent Terms of Use
These Terms of Use (the “Terms”) govern access to and use of the websites, digital properties, intellectual property, tools, applications, platforms, content, and services provided by Alescent, Inc. and its affiliates (collectively, “Alescent,” “we,” “us,” or “our”). This includes, without limitation, alescent.com (the “Site”), any related portals, applications, software tools, data models, methodologies, documentation, written materials, audiovisual content, and collaboration environments, whether accessed publicly, privately, or under invitation (collectively, the “Services”).
These Terms apply to all users of the Site and Services, including external visitors, customers, partners, and Alescent team members, contractors, and affiliates, except where superseded by a written agreement executed by Alescent.
By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as Alescent’s Privacy Statement, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site or Services.
Alescent may revise these Terms at any time. Continued use of the Site or Services following the posting of changes constitutes acceptance of the revised Terms.
Ownership and Intellectual Property Rights
All content, materials, functionality, methodologies, models, frameworks, tools, software, data structures, analytics, designs, graphics, text, audio, video, documentation, and other intellectual property made available through the Site or Services (collectively, the “Alescent IP”) are owned exclusively by Alescent or its licensors and are protected by applicable United States, Canadian, and international laws, including copyright, trade secret, patent, and other intellectual property laws.
Except as expressly stated in these Terms or in a written agreement with Alescent, no rights or licenses are granted to you in or to any Alescent IP. All rights not expressly granted are reserved by Alescent.
Trademarks and Attribution
The names “Alescent,” associated logos, service marks, trade names, slogans, designs, and other identifiers are trademarks or service marks of Alescent or its licensors (collectively, the “Trademarks”).
You may not use, reproduce, display, distribute, or reference any Trademarks without Alescent’s prior written consent. You may not imply any endorsement, sponsorship, partnership, or affiliation with Alescent, nor attribute any statements, analyses, or conclusions to Alescent, in any public or private communication, including marketing materials, press releases, websites, presentations, or social media, without express written authorization.
Permitted Use and License Restrictions
Subject to your compliance with these Terms, Alescent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services solely for legitimate business or informational purposes consistent with their intended use.
You may view, download, and print a single copy of content made available through the Site or Services solely for internal, non-commercial business use, provided that all proprietary notices are retained and the content is not modified.
You may not, directly or indirectly:
- Copy, reproduce, modify, adapt, translate, or create derivative works from any Alescent IP.
- Distribute, sublicense, lease, sell, transfer, publish, or commercially exploit any Alescent IP.
- Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or underlying structures.
- Use the Site, Services, or Alescent IP in a manner that competes with or substitutes for Alescent’s offerings.
- Circumvent security, access controls, or usage limitations.
User Submissions and Feedback
Any information, content, data, feedback, ideas, suggestions, or materials that you submit, upload, or otherwise make available through the Site or Services (collectively, “Submissions”) shall be deemed non-confidential and non-proprietary unless otherwise agreed in writing.
You grant Alescent a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, publish, distribute, and otherwise exploit such Submissions for any lawful purpose, without attribution or compensation.
You represent and warrant that your Submissions:
- Do not infringe or violate the intellectual property, privacy, or other rights of any third party.
- Are not unlawful, defamatory, misleading, obscene, or harmful.
- Do not contain malicious code, viruses, or destructive elements.
- Do not constitute advertising, solicitation, or unauthorized promotional content.
Alescent reserves the right, but has no obligation, to monitor, remove, or restrict access to any Submissions at its sole discretion.
Intellectual Property Infringement and Takedown Notices
Alescent respects the intellectual property rights of others and prohibits the use of the Site or Services to infringe upon those rights.
If you believe that material made available through the Site or Services infringes an intellectual property right you own or are authorized to enforce, you may submit a written notice to Alescent that includes:
- Identification of the intellectual property right claimed to be infringed.
- Identification of the allegedly infringing material and its location.
- Your name, address, telephone number, and email address.
- A statement of good faith belief that the use is not authorized by the rights holder or applicable law.
- A statement that the information provided is accurate and that you are authorized to act on behalf of the rights holder.
- Your physical or electronic signature.

Alescent will respond to valid notices in accordance with applicable law, including the U.S. Digital Millennium Copyright Act, where applicable. Submitting false or misleading claims may result in legal liability.
Professional Disclaimers
The Site and Services may include general information related to economics, finance, technology, operations, and management. Such information is provided for informational purposes only and does not constitute professional, legal, financial, accounting, or other advice.
Engagements for professional advisory services are governed solely by written agreements executed by Alescent. Reliance on information obtained through the Site or Services is at your own risk.
Disclaimer of Warranties
THE SITE, SERVICES, AND ALL ALESCENT IP ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALESCENT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ALESCENT DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALESCENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, SERVICES, OR ALESCENT IP, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Third-Party Content and Services
The Site or Services may include content, tools, or links to third-party websites or services. Alescent does not control and is not responsible for third-party content, practices, or policies. Access to third-party services is at your own risk and subject to the applicable third party’s terms and policies.
Acceptable Use and Conduct
You agree not to use the Site or Services in any manner that:
- Violates applicable laws or regulations.
- Interferes with or disrupts the integrity or performance of the Site or Services.
- Attempts unauthorized access to systems, data, or accounts.
- Misrepresents your identity or affiliation.
Alescent may suspend or terminate access to the Site or Services at any time for violations of these Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Washington, and you consent to their personal jurisdiction.
Miscellaneous
If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. Alescent’s failure to enforce any right or provision shall not constitute a waiver. These Terms constitute the entire agreement regarding use of the Site and Services, except where superseded by a written agreement with Alescent.
